Terms of Service

These terms cover three things: using our website, using Kori (our AI Integration Support Engineer), and the standard Terms of Business that apply when you engage Inite for integration and automation work. If your organisation has a signed agreement with Inite (a Master Services Agreement, Statement of Work, Service Agreement, or Support Agreement), that agreement takes precedence over these terms where they differ.

1. Who we are
Inite Limited is a company incorporated in New Zealand (NZBN 9429052313110), with its registered office at Suite 14441, Level 1, 6 Johnsonville Road, Johnsonville, Wellington 6037, New Zealand. In these terms, “Inite”, “we”, and “us” mean Inite Limited.
2. What we do
We design, build, and support integrations and automations between business systems. Our services include fixed price integration projects, ongoing Care Plans (support subscriptions), and a free assessment: a one hour call about your systems and future integration plans. The free assessment is free and carries no obligation.
3. Using our website
You may use inite.co for any lawful purpose. Content on the site (text, case studies, diagrams, branding) belongs to Inite or its licensors; you may not reuse it commercially without our permission. We try to keep the site accurate and available, but we provide it as is and may change it at any time.
4. Terms of Business
These are the standard terms that govern any engagement between Inite and a customer. Acceptance of our services is acceptance of these Terms of Business. Together with any signed Master Services Agreement, Statements of Work, Service Agreements, Support Agreements, schedules, and mutually agreed written correspondence, they form the agreement between us (the “Form of Agreement”).
4.1 Pricing, fees, and rates
Inite has a standard fees schedule based on the type of work being carried out. Fees are reviewed yearly in line with inflation in our industry, with adjustments taking effect on 1 April each year. We will give customers at least thirty (30) days’ notice of any changes to the rates schedule; new fees apply to new Fixed Price Engagements and ongoing Subscription Agreements from the schedule date. Certain prices may be affected by exchange rate fluctuations and are subject to change without prior notice. Pricing is exclusive of GST unless expressly indicated otherwise.
4.2 Subscription Agreements
Service Agreements and Support Agreements (including Care Plans) are billed on a monthly subscription basis, in advance, with the invoice due on presentation. A payment schedule will be agreed for each subscription. Monthly Subscription Agreements require thirty (30) days’ written notice for termination; the termination period is billed at the existing provisioned rate.
4.3 Care Plans
Care Plans (Monitored, Maintained, Managed) are Subscription Agreements. Each tier includes a stated integration workload (flows per day). One flow means one end to end journey of a piece of data through your systems, counted the way you count your business. If your volume goes past your plan’s included workload, your integrations never stop: processing slows until you move to a plan that fits. A Care Plan starts when your integrations go live from your first project with us.
Each Care Plan carries the response and fix times published on our pricing page (the “Response Times”); the same table sits in the Support Agreement. If Inite misses a fix time, the customer receives a service credit against a following monthly Care Plan invoice: twenty five percent (25%) of that month’s Care Plan fee for an Outage or Blocker, and ten percent (10%) for a Degraded or Minor issue. Credits are applied by Inite without the customer needing to claim them, accrue per missed issue, and are capped in total at one hundred percent (100%) of that month’s Care Plan fee. Service credits are the customer’s sole and exclusive remedy for missed Response Times. Credits do not accrue where a miss results from a force majeure event, an outage or failure of the customer’s chosen platform or another third party system, time spent waiting on customer approvals or access, or a suspension of services under clause 4.7.
4.4 Fixed Price Engagements
Statements of Work for a discrete engagement are provided on a Fixed Price basis. A Fixed Price Engagement is not affected by any revision to Inite’s standard rate schedule for the term of the project. A payment schedule will be agreed for each Fixed Price Engagement. Where completion of a project is delayed by variations or circumstances outside Inite’s control, progress payments remain due as per the original payment schedule unless otherwise agreed.
4.5 Variations
Variations will be raised for changes to the scope of services with the agreement of the customer. No work will be carried out on a Variation until the agreement is documented and signed by Inite and the customer. Outstanding Variations not yet agreed do not affect payments due under the original agreement; any adjustment is made at the next payment due after agreement is reached.
4.6 Disbursements and additional charges
Costs incurred by Inite on the customer’s behalf may be charged to the customer unless otherwise agreed. Whether such charges are likely for a given engagement will be outlined in the Statement of Work, Service Agreement, or Support Agreement and agreed in advance. Any individual item over $100 will be further agreed with the customer in advance. If, as a consequence of providing services, Inite becomes responsible for sales tax, customs duty, or other taxes, duties, tariffs, levies, or surcharges imposed by any governmental or statutory authority, these costs will be charged to the customer.
4.7 Invoicing and late payment
Project services are invoiced against the billing milestones in the Statement of Work and due per the agreed payment term. Subscriptions are billed monthly in advance, due on presentation. Inite reserves the right to charge default interest on payments more than thirty (30) days overdue (except where we have received written notice of a dispute within that time) at two percent (2%) per annum above the Base Lending Rate of Inite’s bank, calculated from the due date until payment. We may take further action to recover amounts overdue by more than ninety (90) days, and the cost of that action will also be due from the customer. Services may be suspended while invoices are outstanding past their due date.
4.8 Professional responsibility and timetable
Inite accepts the professional responsibility to provide services and products which, as far as is reasonably practical, meet the terms of reference, specifications, and standards agreed with the customer, and undertakes to remedy any problems (on an hourly or fixed price basis as appropriate) to comply with them. We make every effort to meet any agreed timetable, but meeting a timetable is not a condition of any agreement. If a delay is caused by circumstances outside Inite’s control, payment is due for all work completed to date.
4.9 Force majeure
Neither party is liable for failure or delay in performing its obligations caused by a force majeure event. The affected party will promptly notify the other and take reasonable steps to mitigate the effect.
4.10 Termination
Unless agreed otherwise, the customer may terminate any services at any time with reasonable prior notice, and will be charged for services provided up to the time of termination. Inite may terminate an engagement immediately if the customer ceases (or threatens to cease) to carry on business, becomes insolvent or enters liquidation, receivership, or an arrangement with creditors, or commits a breach of agreed terms that is not remedied within fourteen (14) days of notice. In the event of termination, Inite is entitled to a fair price for work already undertaken.
4.11 Non-solicitation
The customer agrees not to solicit for employment or engagement, directly or indirectly, any employee or contractor of Inite who has been involved in delivering services, during the term of the agreement and for six (6) months after it ends, without Inite’s prior written consent.
4.12 Intellectual property
Copyright and ownership of all material the customer makes available to Inite remains vested exclusively in the customer. Copyright and ownership of all material Inite makes available to the customer remains vested exclusively in Inite. Copyright in material prepared specifically for the customer remains Inite’s property until fully paid for, and is then transferred to the customer by written notice. Inite reserves the right to reference delivered work in its own marketing as an example of work delivered.
4.13 Confidential information
Inite and the customer will keep all business information gained in relation to an engagement confidential, during and after the engagement, and will not disclose it to any third party without the consent of the party that supplied it. Confidential information does not include information required to be disclosed by law or already in the public domain.
4.14 Warranties
Each party warrants that it has the power and authority to enter into the agreement. Inite warrants that services will be performed in a professional manner consistent with industry standards. The customer warrants that it has all rights necessary in any data, materials, or systems it provides to Inite.
5. Kori and AI generated content
Kori is our AI Integration Support Engineer. Customers usually work with Kori in a shared Microsoft Teams chat; Kori answers support questions, investigates operational issues on integration platforms your organisation has connected, and, with appropriate approval, can file engineering fix requests as GitHub issues in your organisation’s designated repository.
Kori’s responses are generated by artificial intelligence (large language models) and are labelled as AI generated. AI generated content can be incomplete, outdated, or incorrect. It is provided for support purposes and is not professional, legal, or other advice. Review Kori’s answers and any proposed changes before relying on them, particularly for production systems.
Actions that modify customer systems (for example, restarting a workflow invocation, or filing a fix request) require explicit human approval before they run, and some approvals are restricted to authorised Inite operators. Your organisation is responsible for the accuracy of the platform configuration and access it provides to Inite, and for the consequences of approvals granted by its authorised users.
How Kori handles messages and data, including the fact that Kori reads all messages in group chats where it is installed, is described in our Privacy Policy.
6. Acceptable use
You agree to use our services, including Kori, only for legitimate purposes relating to your organisation’s systems and integrations, and not to:
- use Kori if you are not an authorised user of a registered customer organisation or an Inite operator;
- submit content that is unlawful or that you do not have the right to share;
- submit sensitive personal information (for example, individuals’ health or financial account data) that is not necessary for resolving a support issue;
- attempt to bypass approval gates, access other organisations’ data, probe or disrupt our services, or use them to develop competing products;
- use our services in a way that breaches applicable law or third party rights.
We may suspend or restrict access that breaches these terms or threatens the integrity of our services.
7. Third party services
Our services depend on third party platforms, including Microsoft 365 and Azure, GitHub, Cloudflare, Restate Cloud, AWS, and Stripe, as well as the systems we connect on your behalf. The providers we use to process data, with links to their privacy policies, are listed in our Privacy Policy. We are not responsible for the availability or conduct of third party services, and your use of them is subject to their own terms.
8. Disclaimers and limitation of liability
Except as expressly stated in these Terms of Business and any agreements included in the Form of Agreement, all warranties and representations in relation to services or products supplied by Inite, whether express or implied, are excluded to the fullest extent permitted by law. Our website and Kori are provided as is and as available; we do not warrant that they will be uninterrupted or error free, or that AI generated output will be correct.
Inite does not accept liability for any third party loss, or for any incidental, indirect, special, or consequential costs or losses arising from any error, deficiency, misuse, delay in completion, delay in supply, or other cause in relation to services or products supplied or offered by Inite. In any event, Inite’s total liability under any claim in respect of any one engagement, contract, or product shall not exceed the amount paid to Inite by the customer for that engagement, contract, or product. Nothing in these terms limits liability that cannot be limited under applicable law.
9. Dispute resolution
If a dispute arises, the parties will first attempt to resolve it in good faith through negotiation. If it is not resolved within thirty (30) days, either party may refer it to mediation administered by a recognised New Zealand mediation service. If the dispute remains unresolved after mediation, either party may pursue legal remedies.
10. Severability and governing law
If any provision of these terms is held invalid or unenforceable in whole or in part, the remaining provisions continue in full force with the invalid parts severed. Inite provides its services and products under the laws of New Zealand, including but not limited to the Consumer Guarantees Act 1993.
11. Changes to these terms
We may update these terms from time to time. The “Last updated” date above reflects the current version, and material changes will be communicated to customer organisations. Continued use of our services after changes take effect constitutes acceptance of the updated terms. Signed agreements keep the terms they were signed under unless we agree changes together.
